Corporate/Tax Paralegal 

We currently seek a full-time experienced Corporate/Tax paralegal to join our Brownfield tax law and corporate practices.

Individuals from historically under represented groups within in the legal community are encourage to apply.

Primary Responsibilities will include working with attorneys in the following areas: 

  • Brownfield cleanup program work:
    • Coordinate with six attorneys regarding dozens of pending projects
    • Maintain docket for the brownfield practice attorneys to schedule and manage:
      • pending administrative agency audits (NYS Tax Dept) of brownfield tax credit claims
      • contested matters before NYS Tax Dept and administrative/judicial tribunals
      • other contested matters
    • Work closely with attorneys to download, classify, and maintain brownfield project information (administrative documents, accounting information and worksheets, client records, etc.). Includes document review, assembly of credit claim and audit response packages for large remediation and construction projects
      • Review Excel files relating to project cost detail, organization structure and credit flow-through
      • Drafting audit response correspondence and exhibits
      • Draft NYS tax forms and line item instructions to provide to clients and their accountants
    • Obtain, file, and maintain broad spectrum of administrative documents relating to the brownfield cleanup program (BCP); facilitate document transfers through Sharefile or other means; maintain and update documents in the Firm’s document management system (iManage)
    • Work with in-house staff to organize and maintain a comprehensive database of brownfield sites, BCP status information, site owners (clients and possible clients), co-counsel, consultants, and referral sources
  • Corporate/Entity Paralegal services
    • Work with attorneys throughout the firm, and with clients, to form a variety of entities, including corporations (for-profit and not-for-profit), limited liability companies, limited partnerships, and other entities
      • Preparation and filing of formation documents
      • Completion of statutory procedures for organization
      • Drafting organization documents for attorney review (minutes/resolutions, by-laws, LLC operating agreements, stock/unit certificates etc.)
    • Maintain and update entity records (stock transfer ledgers, minute book, corporate seal, etc); coordinate with records manager as to custody of record books, original documents and certificates, corporate seal, etc.
    • Prepare and maintain records of corporate resolutions, certificates, and other documents relating to transactions involving
      • ownership changes
      • corporate/entity action requiring authorization by directors/managers/owners,
      • annual meetings
      • other items as directed by attorneys
    • Assist mergers and acquisitions attorneys with a variety of transactions:
      • Organization and maintenance of due diligence records (physical and on-line as needed);
      • Coordination and monitoring of transaction “data rooms”
      • Organization and review of due diligence materials as instructed by attorneys
      • Prepare and maintain/update transaction checklists
      • Coordinate document preparation, assembly, and other closing logistics; track and prepare post-closing items (follow up certifications, closing binders, etc.

Requirements:

  • Professional approach to work with focus on client service; strong indicators are excellent communications skills, attention to detail, and initiative to complete tasks independently
  • Degree in accounting/finance and/or related work experience; experience with Microsoft Office suite (Word, Excel, Powerpoint, Access)
  • Prior corporate/tax paralegal experience
  • Ability to multi-task and adjust to changing work priorities on an as-needed basis
  • Possess good organizational skills, judgment, and ability to prioritize work and meet deadlines

Trust & Estate Litigation Paralegal

Bousquet Holstein is hiring a litigation paralegal with at least two years experience as a litigation paralegal.  Exposure to trust, estate, and elder law practice areas is a plus, as the firm has a growing trust, estate, and elder law litigation practice, but is not required.

Responsibilities:

  • Interface with clients, administrative agencies, and court personnel
  • Coordinate with attorneys for case management and control dates
  • Oversee and coordinate service of process for legal proceedings
  • E-file documents and coordinate paper filing of documents
  • Organize exhibits, documents, evidence, briefs and appendices in preparation for hearings and trials
  • Gather and organize information relevant to preparation of accountings and discovery requests
  • Draft petitions, citations, oaths, commissions, discovery requests, and other legal documents

Requirements:

  • Paralegal certificate or equivalent of education/experience
  • Comfortable working in a multi-practice area environment
  • Highly organized with ability to juggle multiple deadlines in a fast-paced environment
  • Strong communication skills
  • Attention to detail
  • Experience with e-filing
  • Familiarity with HotDocs is preferred

Trust & Estates Paralegal

Bousquet Holstein is hiring an experienced paralegal to assist in its growing trust & estates practice area.

Responsibilities:

  • Heavy client contact
  • Interface with clients, administrative agencies, and court personnel
  • Marshalling, organizing and analyzing asset information
  • Preparation of inventories
  • Preparation of Accountings
  • Drafting estate planning documents such as wills, power of attorney documents and documents associates with guardianships
  • Coordinate with attorneys for case management
  • Assisting with Fiduciary income tax returns
  • Assisting with Estate and Gift tax return preparation
  • Preparation of Guardianship forms
  • Preparation of Medicaid applications

Requirements:

  • Paralegal certificate or equivalent of education/experience
  • Knowledge of trust & estate practice area to include experience with wills, trusts and estates
  • Knowledge of probate process and procedures
  • Comfortable working in a multi-practice area environment
  • Highly organized with ability to juggle multiple deadlines in a fast-paced environment
  • Strong communication skills
  • Attention to detail
  • Knowledge of MS Office to include Excel
  • Familiarity with HotDocs  & Quicken is preferred
  • Independent worker
